SECP Urges Pakistan’s Builders and Developers to Formalize Businesses as Companies

Pakistan’s corporate regulator is encouraging builders and developers to move toward formal company structures as part of a broader effort to bring more of the country’s real estate industry into the regulated corporate sector.

The Securities and Exchange Commission of Pakistan (SECP) recently held an awareness session with members of the Association of Builders and Developers of Pakistan (ABAD), where officials explained company incorporation, regulatory reforms and opportunities available to businesses that operate through formal corporate structures. ABAD members are now considering converting businesses into corporate entities and exploring Real Estate Investment Trusts (REITs).

The development does not mean SECP has announced a new blanket requirement forcing every builder or developer to immediately incorporate as a company. The latest engagement is an awareness and corporatization drive encouraging businesses to consider formal registration. This distinction is important because the federal government separately considered mandatory SECP registration for housing developers earlier in 2026.

What SECP Told Builders and Developers

SECP Commissioner Muzaffar Ahmed Mirza led the regulator’s delegation during the session with ABAD.

Officials outlined reforms intended to simplify company incorporation and provide greater regulatory clarity while encouraging businesses currently operating informally or as partnerships to adopt corporate structures.

One of the key arguments presented was that incorporation establishes a company as a separate legal entity. A corporate structure can also generally limit shareholders’ liability, creating clearer separation between company obligations and shareholders’ personal assets.

SECP also highlighted potential commercial benefits, including improved access to financing, greater business credibility, continuity and better access to domestic and international markets.

For Pakistan’s real estate industry, these benefits could be particularly relevant because property development projects often involve substantial capital requirements, long development periods and financial relationships with investors, customers and lenders.

Company Registration Can Now Be Completed Through eZfile

A practical demonstration of SECP’s eZfile system was also given during the session, showing builders and developers how businesses can complete the incorporation process digitally.

According to SECP’s current company-registration guidance, the incorporation process is end-to-end digitized and consists of four main steps. Applicants can submit a combined application for company-name reservation and incorporation through eZfile.

Pakistan’s Companies Act, 2017 allows two or more people to establish a private company, while a private company formed by a single person can operate as a single-member company.

For builders currently operating through other business structures, incorporation therefore does not necessarily require establishing a large public company.

Why Formalization Matters for Pakistan’s Real Estate Sector

Real estate occupies an unusual position in Pakistan’s economy because projects can involve large investments and substantial advance payments from buyers while individual builders and developers can operate through different legal structures.

A corporate structure can provide a more defined framework for ownership, governance, record keeping and continuity.

Formalization can also make it easier for lenders and investors to evaluate a business because the company has a distinct legal identity and operates within a defined corporate regulatory framework.

SECP’s engagement with ABAD is not an isolated development. In October 2025, the regulator held consultations with ABAD on a regulatory framework for real estate companies intending to collect advance deposits for projects.

That proposed framework addressed issues including regulatory approval, safeguarding public advances through escrow arrangements and improving transparency in project financing. SECP said at the time that its objective was to balance investor protection with growth in the real estate industry.

The latest corporatization initiative therefore fits within a longer-running effort to develop more formal structures around Pakistan’s property sector.

Government Has Also Considered Mandatory Registration

The distinction between SECP’s current outreach and the government’s broader policy discussions is important.

In May 2026, the federal government considered making SECP registration compulsory for companies operating in the housing and development sector as part of proposed reforms aimed at formalizing the industry. The proposal was discussed during a high-level meeting on housing-sector reforms chaired by Prime Minister Shehbaz Sharif.

The latest SECP-ABAD session, however, focuses on encouraging corporatization and explaining its potential benefits rather than announcing that such a universal requirement has now taken effect.

Builders and property businesses should therefore distinguish between existing company-law requirements, sector-specific regulatory obligations and policy proposals still being considered.

ABAD Members Are Also Exploring REITs

Another important part of the discussions involves Real Estate Investment Trusts.

ABAD representatives said members would consider both converting businesses into corporate entities and registering REITs.

A REIT provides a regulated structure through which investors can gain exposure to real estate assets or projects.

SECP describes REITs as an alternative asset class intended to add depth to Pakistan’s capital market while bringing greater transparency to real estate through disclosure requirements and accountability under a trust mechanism.

REITs also provide another investment product for retail investors, although establishing and managing one involves a separate regulatory structure and should not be confused with simply incorporating an ordinary property-development company.

SECP states that a REIT Management Company is an NBFC licensed by the regulator to provide REIT management services.

Pakistan’s Corporate Sector Is Already Expanding

The real estate initiative comes as Pakistan continues to record new company incorporations across different industries.

SECP registered 2,993 new companies in March 2026, an increase of 11% compared with the same month a year earlier. Pakistan’s total registered corporate base consequently reached 290,041 companies, according to SECP data reported at the time.

Construction and real estate were among the sectors contributing to new registrations, although information technology and e-commerce accounted for the largest number during the month.

Greater participation by builders and developers could expand the corporate footprint of the property sector further.

What Happens Next?

ABAD’s leadership has indicated that its members are actively considering corporatization and REIT registration following the SECP awareness session. The association also agreed to coordinate with the regulator and submit recommendations concerning the real estate sector under the Companies Act, 2017.

The significance of the initiative will ultimately depend on how many property businesses decide to adopt corporate structures and whether broader reforms proposed for the real estate sector become mandatory.

For builders and developers considering incorporation now, SECP already provides digital company registration through eZfile, along with incorporation guidance, company-name searches, standard documentation and fee-calculation resources.

For buyers and investors, meanwhile, a wider shift toward regulated corporate structures and REITs could potentially make ownership, governance and project financing more transparent. Incorporation itself, however, should not be treated as a guarantee that an individual property project is financially sound, legally approved or risk-free.
